TERMS OF SERVICE

Welcome to PT Cakrawala Kreatif Digital (“Company,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our platform, software, and related services (collectively referred to as the “Services”), designed to assist Business Users in managing business operations, customer service, and sales processes through AI-powered customer service agents.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

Users must be at least 18 years of age and possess the legal authority to bind the company or entity they represent to these Terms. By using the Services on behalf of an entity, you represent and warrant that you are authorized to act for and on behalf of such entity and to bind it to these Terms.

2. Description of Services

bayarin.id provides an integrated platform that enables Business Users to:

• Manage customer inquiries and interactions using AI-powered customer service agents;
• Receive, process, and close customer orders;
• Integrate with third-party tools (CRM, email, chat, payment gateways, and others);
• Analyze operational data to improve efficiency and automate business processes.

We reserve the right to add, modify, or discontinue any features of the Services at our sole discretion and at any time.

3. Account and Security

To use the Services, Business Users must create an account with accurate and up-to-date information. Users are fully responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their accounts. You must promptly notify us of any unauthorized access or security breaches involving your account.

4. Customer Data and AI Processing

a. Ownership of Data

Business Users retain full ownership of all data, content, and information uploaded to the Services (“Customer Data”).

b. License to Use Data

Business Users grant PT Cakrawala Kreatif Digital a non-exclusive, royalty-free, worldwide license to store, process, analyze, and use Customer Data solely for the purposes of:

• Providing and improving the Services;
• Training and operating AI models to assist the Business User’s customers;
• Maintaining system security and operational integrity.

We do not sell or share Customer Data with third parties for marketing purposes.

c. Compliance with Data Protection Laws

Business Users are responsible for ensuring that all Customer Data provided complies with applicable laws and regulations, including Law No. 27 of 2022 on Personal Data Protection (UU PDP) and its implementing regulations.

d. Use of Data for AI Training and Improvement

Business Users grant PT Cakrawala Kreatif Digital a non-exclusive, royalty-free, worldwide license to use Customer Data (including anonymized or aggregated data) to train, develop, and enhance AI models and the performance of our Services.

We may use de-identified data for research, technological development, and quality improvement purposes.

Business Users acknowledge that once Customer Data has been used to train an AI model, the learned representations derived from such data may not be completely erasable, as they form part of the model’s learned parameters. However, Users may request that future data no longer be used for training by contacting legal@bayarin.id.

All data processing is carried out in accordance with Law No. 27 of 2022 on Personal Data Protection and related regulations.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information obtained during the use of the Services and not to disclose such information to any third party without the other party’s prior written consent, except as required by law.

6. Prohibited Uses

Business Users shall not:

• Use the Services for illegal, deceptive, or harmful activities;
• Upload or distribute viruses, malware, or other harmful code;
• Use the AI system to deceive, mislead, or harm customers;
• Reverse-engineer, decompile, or attempt to extract the source code of the system.

7. Third-Party Integrations

The Services may connect with or rely on third-party services or APIs. Use of such services is subject to the terms and policies of the respective third parties. We are not responsible for the performance, policies, or security of such third-party services.

8. Third-Party Service Providers

PT Cakrawala Kreatif Digital may utilize, integrate, or rely upon third-party services in providing the Services, including but not limited to payment processors, cloud storage providers, API providers, AI model providers, and technology infrastructure vendors.

Business Users acknowledge and agree that:

• Such third-party services are operated by independent entities not under the direct control of PT Cakrawala Kreatif Digital;
• Use of these services is governed by each provider’s terms, privacy policy, and security standards;
• PT Cakrawala Kreatif Digital is not liable for the availability, reliability, security, or performance of these third-party services;
• Interruptions or failures caused by third-party systems shall not constitute a breach or default by PT Cakrawala Kreatif Digital; and
• Business Users must comply with any additional requirements imposed by relevant third-party providers.

We reserve the right to modify, replace, or discontinue integrations with third-party services at any time without prior notice.

9. Fees and Payment

Use of the Services may be subject to subscription fees as listed on our website or in applicable service agreements. All fees are non-refundable unless required by law. Delayed payments may result in suspension or termination of access to the Services.

10. Service Availability

We strive to keep the Services available and operating optimally, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, system upgrades, or external factors may temporarily affect Service availability.

11. Intellectual Property Rights

All intellectual property rights in the Services—including software, algorithms, user interfaces, designs, and AI models—remain the exclusive property of PT Cakrawala Kreatif Digital. Business Users are granted a limited, non-transferable, non-exclusive license to use the Services in accordance with these Terms.

12. Termination

Either the Business User or the Company may terminate the account and access to the Services at any time with notice. Upon termination:

• Access to the Services will cease; and
• Customer Data may be deleted or returned upon written request, subject to our data retention policy.

13. Force Majeure

We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to natural disasters, fire, war, riots, pandemics, network disruptions, or government actions. Our obligations will resume once such conditions have ended.

14. Disclaimer and Limitation of Liability

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee any specific results from using the Services. To the maximum extent permitted by law, we shall not be liable for any indirect damages, loss of data, or loss of profits arising from or related to the use of the Services.

15. Indemnification

Business Users agree to indemnify, defend, and hold harmless PT Cakrawala Kreatif Digital from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Violation of these Terms; or
• Use of the Services in violation of applicable laws.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

Any dispute arising out of or in connection with these Terms shall first be resolved amicably within 30 (thirty) calendar days from the date one party notifies the other of such dispute. If an amicable settlement cannot be reached, the dispute shall be submitted to the Central Jakarta District Court, without prejudice to the parties’ right to agree to resolution through the Indonesian National Arbitration Board (BANI).

17. Changes to the Terms

We may update these Terms from time to time. The latest version will be published on our website, and continued use of the Services by Business Users constitutes acceptance of the updated Terms.
